These Terms of Service ("Terms") govern access to and use of sodasoft.com ("Website"). Sodasoft LLC ("Sodasoft," "we," "us," "our") operates the Website. Sodasoft LLC is a Wyoming limited liability company with its principal office at 30 N Gould St., Sheridan, WY 82801, United States.
Use of the Website means acceptance of these Terms. If you do not accept these Terms, do not access or use the Website.
2. Eligibility and Authority
Use of the Website requires legal capacity to form a binding contract. Use on behalf of a company requires authority to bind that company. You represent that such authority exists.

- "Content" means text, graphics, templates, media, code snippets, and materials on the Website.
- "Submission" means information or materials you send through forms, email links on the Website, or similar channels.
- "Services" means venture studio services offered by Sodasoft.
- "Engagement Agreement" means a separate written contract that governs Services.
4. Website Purpose and Services Overview
Website content provides general information about Sodasoft and potential Services. Website content does not create a client relationship. Services require an Engagement Agreement signed by both parties.
Engagement Agreements control deliverables, fees, intellectual property, timelines, security, confidentiality, and warranties for Services.
5. Acceptable Use
Permission exists to access and use the Website for lawful business purposes. Prohibited actions include:
- Illegal use or violation of applicable law
- Interference with Website operation, security, or availability
- Probing, scanning, testing, or attacking Website security without written permission
- Introducing malware, bots, scrapers, or automated extraction tools without written permission
- Copying, republishing, or exploiting Website Content beyond normal browsing
- Misrepresenting identity or affiliation
- Sending spam or abusive communications through Website channels
6. Intellectual Property and Limited License

7. Submissions, Venture Intake, and Idea Policy
Submissions are treated as non-confidential unless a separate written confidentiality agreement exists. Do not send confidential, proprietary, or trade secret information through Website forms.
Submission delivery does not create any duty of confidentiality. Submission delivery does not create any obligation to engage, respond, or compensate.
You grant Sodasoft a worldwide, non-exclusive, royalty-free license to use, reproduce, and evaluate Submissions for business purposes related to:
- Assessing fit for potential engagements
- Communicating with you about your inquiry
- Improving internal processes, templates, and evaluation methods
You acknowledge that Sodasoft may already be developing, or may later develop, ideas, products, or services similar to those described in your Submission. You agree not to assert claims against Sodasoft based on "idea submission" or alleged similarity, to the maximum extent permitted by law.
7.1 Feedback
Feedback includes suggestions, comments, or ideas about the Website or Services. You grant Sodasoft a perpetual, irrevocable, worldwide license to use Feedback without restriction or compensation.
8. Third-Party Links and Tools
The Website may reference third-party websites, tools, or services. Sodasoft does not control third-party services and makes no warranties about third-party services. Third-party use happens at your own risk and under third-party terms.
9. No Professional Advice and No Results Guarantee
Website Content provides general information only. Website Content is not legal, tax, investment, accounting, security, or other professional advice. You must seek professional advice for decisions that require it.
No promise exists for business outcomes, fundraising, revenue, growth, go-to-market success, performance, security posture, or regulatory approval. Case studies and examples, if shown, describe specific situations and do not guarantee similar results.
10. Securities and Investment Notice
The Website may describe equity-based or revenue-share engagement models. The Website does not constitute an offer to sell or a solicitation to buy securities. Sodasoft is not acting as a broker-dealer, investment adviser, or placement agent through the Website.
Any equity or revenue-share terms require a signed Engagement Agreement and compliance with applicable law.

12. Disclaimer of Warranties
The Website and Content are provided "as is" and "as available." No warranties exist, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
No warranty exists that the Website will be uninterrupted, secure, error-free, or free of harmful components. You are responsible for implementing safeguards, including antivirus and backup practices.
13. Limitation of Liability
Liability limits apply to claims related to the Website and Content. Liability limits do not apply to a signed Engagement Agreement, which controls its own allocation of risk.
To the maximum extent permitted by law, Sodasoft and its members, managers, employees, contractors, and agents will not be liable for:
- Indirect, incidental, special, consequential, exemplary, or punitive damages
- Lost profits, lost revenue, lost business opportunity, loss of goodwill, or loss of data
- Business interruption
- Security incidents, unauthorized access, or data loss tied to Website use
Total liability for all Website-related claims will not exceed USD $100. Some jurisdictions do not allow certain limitations. Limits apply only to the extent permitted by law.
14. Indemnification
You agree to indemnify and defend Sodasoft from claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from:

- Your Submission content

15. Suspension and Termination

18. Dispute Resolution, Arbitration, and Class Action Waiver
Good-faith negotiation is required first. Negotiation period: 30 days from written notice of dispute.
Unresolved disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA). Arbitration seat and venue: Sheridan County, Wyoming, United States. Arbitration language: English. Number of arbitrators: one, unless AAA rules require otherwise. Arbitration will be confidential to the extent permitted by law and AAA rules.
Court actions are allowed only for:
- Injunctive or equitable relief to protect intellectual property or prevent misuse
- Small claims court matters that qualify
Class action waiver applies to the maximum extent permitted by law. Claims must be brought in an individual capacity only.
19. Governing Law
Wyoming law governs these Terms, excluding conflict of law rules.
20. Changes to Terms
Sodasoft may change these Terms at any time. Updated Terms will be posted with a new "Last updated" date. Continued use means acceptance of updated Terms.
21. Severability
Invalid provisions will be limited to the minimum necessary. Remaining provisions will stay in full force and effect.
22. Entire Agreement for Website Use
These Terms and the Privacy Policy form the entire agreement for Website use. Engagement Agreements govern Services.
